10.1 Jurisdiction and Entity Structure

Asset Avenue operates under a hybrid structure, bridging on-chain and off-chain components to meet compliance requirements without compromising decentralization.

At the platform level, Asset Avenue is based in Estonia, a blockchain-friendly jurisdiction, which oversees governance, development, and community initiatives. The DAO governs this entity via smart contracts, granting token holders collective decision-making power over the platform’s direction.

Each real estate project is managed by a separate Special Purpose Vehicle (SPV), a legally registered company (typically a limited liability company or trust). This SPV holds the title to the property and issues tokenized shares representing ownership.

This structure has two main benefits:

  1. Clear Legal Ownership Investors hold equity or contractual rights in the SPV, which is the legal owner of the underlying property. This avoids complex or risky direct title transfers and aligns with traditional property law frameworks.

  2. Regulatory Segmentation Each SPV is ring-fenced, isolating liability, compliance scope, and asset management from other projects. It simplifies reporting, tax, and dispute resolution.
